This End User License Agreement (“Agreement”) is a binding legal agreement between you, either an individual or a single entity (“User,” “you,” or “your”), and Legacy Group Holdings, together with its subsidiaries and affiliates (“Company,” “we,” “us,” or “our”), governing your access to and use of the web-based software-as-a-service application provided by Company, including all related features, functionality, updates, and documentation (collectively, the Application or the “Service”).

BY CREATING AN ACCOUNT, CLICKING “I AGREE,” OR ACCESSING OR USING THE SERVICE IN ANY WAY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.

Effective Date: [Effective Date]

1. GRANT OF LICENSE

Subject to your compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Application through a supported web browser, solely for your internal business or personal purposes, during the term of your subscription or authorized access period.

This license does not constitute a sale of the Service or any underlying software, and Company and its licensors retain all right, title, and interest in and to the Service not expressly granted to you.

2. RESTRICTIONS ON USE

You agree that you will not, and will not permit any third party to:

  • Copy, modify, adapt, translate, or create derivative works of the Service;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent such restriction is prohibited by applicable law;
  • Rent, lease, lend, sell, sublicense, assign, distribute, or otherwise transfer rights to the Service;
  • Remove, alter, or obscure any proprietary notices on or in the Service;
  • Use the Service to build a competing product or service, or for any unlawful, fraudulent, or unauthorized purpose;
  • Attempt to gain unauthorized access to the Service, related systems, or other users’ accounts or data;
  • Interfere with or disrupt the integrity or performance of the Service, including through the introduction of viruses, malware, or excessive automated queries.

3. ACCOUNT REGISTRATION AND SECURITY

To use the Service, you may be required to register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Company promptly of any unauthorized use of your account.

4. DATA COLLECTION AND PRIVACY

Company collects and processes certain information in connection with your access to and use of the Service, which may include:

  • Account and registration information you provide (such as name, email address, and company details);
  • Usage data, including log files, device and browser information, and interactions with the Service;
  • Content and data you upload, submit, or generate through the Service (“User Data”).

Company will handle such information in accordance with its Privacy Policy, which is incorporated into this Agreement by reference. By using the Service, you consent to the collection, use, storage, and processing of such information as described in the Privacy Policy. You retain ownership of your User Data; you grant Company a limited license to host, process, and display User Data solely as necessary to provide and support the Service. Company will implement commercially reasonable administrative, technical, and physical safeguards designed to protect User Data, but no method of transmission or storage is completely secure, and Company cannot guarantee absolute security.

5. THIRD-PARTY INTEGRATIONS AND SERVICES

The Service may allow you to connect or integrate with third-party applications, platforms, or services (“Third-Party Services”). Your use of any Third-Party Services is governed by the terms and privacy policies of those third parties, and not by this Agreement. Company does not control and is not responsible for Third-Party Services, including their availability, accuracy, content, or practices regarding your data.

By enabling a Third-Party Service integration, you authorize Company to share the data necessary to enable that integration and acknowledge that Company is not liable for any loss or damage arising from your use of or reliance on any Third-Party Service.

6. INTELLECTUAL PROPERTY

All right, title, and interest in and to the Service, including all software, text, graphics, logos, trademarks, and other content provided by Company (excluding your User Data), are and will remain the exclusive property of Company and its licensors. Nothing in this Agreement grants you any right to use Company’s trademarks, service marks, or logos without prior written consent.

7. TERM AND TERMINATION

This Agreement is effective upon your first access to or use of the Service and continues until terminated. Company may suspend or terminate your access to the Service at any time, with or without cause or notice, including for any actual or suspected violation of this Agreement. You may terminate this Agreement at any time by discontinuing use of the Service and closing your account, if applicable.

Upon termination, your right to access and use the Service will immediately cease. Sections of this Agreement that by their nature should survive termination (including Sections 6, 8, 9, 10, and 12) will survive.

8. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COMPANY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. COMPANY’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID TO COMPANY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Service, your User Data, your violation of this Agreement, or your violation of any rights of a third party.

11. MODIFICATIONS TO THE AGREEMENT OR SERVICE

Company may revise this Agreement from time to time. If Company makes material changes, it will provide notice, such as by posting an updated version within the Service or sending an email to the address associated with your account. Your continued use of the Service after such changes take effect constitutes your acceptance of the revised Agreement. Company also reserves the right to modify, suspend, or discontinue the Service, in whole or in part, at any time.

12. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement will be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to this Agreement or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Alabama, and you consent to personal jurisdiction and venue in those courts.

13. GENERAL PROVISIONS

  • Entire Agreement: This Agreement, together with any documents incorporated by reference (including the Privacy Policy), constitutes the entire agreement between you and Company regarding the Service and supersedes all prior agreements and understandings.
  • Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver: Company’s failure to enforce any provision of this Agreement will not constitute a waiver of that or any other provision.
